The Cabinet of Ministers of Ukraine agreed on the new composition of the Supervisory Board of NPC Ukrenergo.
As the company’s press service reported, the updated composition of the company’s Supervisory Board, appointed by orders of the Ministry of Energy of Ukraine, included seven officials – four independent and three from the state.
INDEPENDENT MEMBERS
Patrick Roland Graichen is a renowned European expert on climate and energy issues. Previously, he served as State Secretary at the German Federal Ministry for Economic Affairs and Climate Protection, where he played a key role in shaping national energy strategies. Previously, he headed Agora Energy Transition, a leading European think tank, for ten years, where he contributed significantly to promoting energy transition and sustainable development strategies in the EU.
Luigi De Francischi was responsible for regulatory affairs at TERNA, the Italian electricity transmission system operator, one of the largest in Europe. He also served as a member of the board of ENTSO-E for over six years. Luigi already served as an independent member of the Supervisory Board of Ukrenergo in 2019-2021, responsible for strategic transformations.
Jeppe Sebastian Kofod is a well-known European politician and expert in the field of energy and security issues. 25 years of experience in European diplomacy, deep understanding of the energy market and the specifics of regulation.
Jan Henrik Montell has a successful combination of experience in both corporate management and as CFO of a Finnish electricity transmission system operator. At Fingrid, he was responsible for strategic finance, digitalization, investments, fundraising and risk management for over eight years.
STATE REPRESENTATIVES
Yuriy Boyko – Advisor to the Prime Minister of Ukraine. He has more than 25 years of experience in senior positions in private and public institutions in the energy sector. He began his career in the energy sector in 1995 as an electrical engineer, subsequently worked in management positions in industry enterprises, and at the end of 2020 he served as acting Minister of Energy of Ukraine. Yuriy Boyko served as a member of the Supervisory Board of Ukrenergo in 2021-2024, and in November 2023 he was elected deputy chairman of the Supervisory Board of NPC Ukrenergo.
Anatoly Guley is a professor at Western Ukrainian National University. Doctor of Economic Sciences and Master of Law. In the past, co-chairman of the Expert Council at the National Bank of Ukraine, expert of the Public Council under the Ministry of Finance of Ukraine, deputy chairman and chairman of the board of Oschadbank JSC. For 10 years, Anatoly Guley was the Chairman of the Board of the Ukrainian Interbank Currency Exchange.
Alexey Nikitin is a leading specialist in the department of engineering and technical parts of the State Enterprise “Department of Engineering and Technical Parts 38”, whose job responsibilities include the physical protection of critical infrastructure facilities. Previously, he worked as an advisor to the General Director of Market Operator JSC and at the same time as a freelance advisor to the Minister of Energy of Ukraine. Alexey Nikitin headed the Department for supporting commercial activities of PJSC Ukrhydroenergo, and also worked for 10 years as the head of the balancing department of the State Enterprise NEC Ukrenergo.
The Supervisory Board of NEC Ukrenergo consists of seven people: four independent members elected through a competition and three state representatives. It can be stated that the updated personal composition of the Supervisory Board has been fully formed.
Compliance with the principles of independent corporate governance of the company is what was and is the daily practice of NPC Ukrenergo, and underlies the trust of international partners, investors and creditors.
Background
On August 30, during a meeting of the Headquarters of the Supreme Commander-in-Chief, Ukrainian President Vladimir Zelensky decided that Kudrytsky should write a letter of resignation of his own free will. The reason for the Stavka’s decision is the unfinished protective structures around Ukrenergo substations, which after the massive Russian shelling on August 26 led to interruptions in the supply of electricity.
Members of the supervisory board Yuri Boyko, Yuri Tokarsky, Alexander Baranyuk and Pole Roman Pionkowski voted for Kudrytsky’s resignation. The meeting was convened by Kudritsky himself to provide a report on ensuring the protection of high-voltage network facilities during Russian attacks and to discuss the situation around the company in the public sphere.
Independent members of the supervisory board, ex-presidents of the association of European continental network operators ENTSO-E – Daniel Dobbeny and Peder Andreason, who did not support the dismissal of Kudritsky, resigned on September 3. Kudrytsky was fired in violation of the principles of corporate governance, without proof of his mistakes and abuses, which is unacceptable and may affect the future cooperation of Ukrenergo with operators – members of ENTSO-E, Dobbeny and Andreason wrote in their joint statement.
